These Terms of Service ("Terms") govern your access to and use of the website at modaltrans.com and the Modaltrans logistics software platform (together, the "Services"), provided by (trading as "Modaltrans", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
If you do not agree to these Terms, you must not access or use the Services.
Modaltrans provides a software-as-a-service platform for freight forwarders, customs brokers, beneficial cargo owners, and other logistics service providers, covering areas such as freight management, customs management, warehouse management, finance, CRM, and reporting. Access to certain modules and features may require a separate order form, subscription agreement, or account registration, which forms part of these Terms.
To use certain parts of the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account or any other security breach.
Paid features of the Services are provided on a subscription or usage basis as set out in the applicable order form, pricing page, or agreement between you and Modaltrans. Fees are non-refundable except where required by law or expressly stated otherwise. We may change our fees on renewal with reasonable prior notice.
You agree not to: use the Services for any unlawful purpose or in violation of any applicable export control, customs, trade sanctions, or other regulations; attempt to gain unauthorised access to the Services or related systems; interfere with or disrupt the integrity or performance of the Services; reverse engineer, decompile, or attempt to extract the source code of the platform, except as permitted by law; upload malicious code; or use the Services to infringe the intellectual property or other rights of any third party.
You retain ownership of the shipment, customer, and business data you or your users submit to the platform ("Customer Data"). You grant us a limited licence to host, process, and use Customer Data solely to provide, maintain, and improve the Services and as otherwise permitted under your agreement with us. Our collection and use of personal information, including personal information contained in Customer Data, is described in our Privacy Policy and, where applicable, a separate data processing agreement.
The Services, including all software, design, text, graphics, and other content (excluding Customer Data), are owned by Modaltrans or our licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted to you to use the Services, no other rights are granted, and all rights not expressly granted are reserved.
The Services may rely on, integrate with, or link to third-party services, including hosting and content delivery (Webflow, Cloudinary, Cloudflare), analytics and tag management (Google Tag Manager, Google Analytics), customer relationship management (Pipedrive), and carrier, customs, or accounting integrations you choose to connect. We are not responsible for the availability, content, or practices of third-party services, and your use of them may be subject to their own terms and privacy policies.
Each party agrees to protect the other party's confidential information disclosed in connection with the Services using at least the same degree of care it uses for its own confidential information of similar nature, and not to disclose it to third parties except as permitted under these Terms or a separate written agreement.
Except as expressly stated in a written agreement between you and Modaltrans, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Nothing in these Terms excludes or limits any warranty that cannot lawfully be excluded or limited under the law applicable to you, including as a consumer.
To the maximum extent permitted by applicable law, Modaltrans shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the Services. Our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death, personal injury, fraud, or gross negligence.
You agree to indemnify and hold Modaltrans harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.
These Terms remain in effect for as long as you use the Services. We may suspend or terminate your access to the Services if you materially breach these Terms and fail to remedy the breach within a reasonable period after notice, or immediately in cases of serious breach, security risk, or as required by law. You may stop using the Services, or terminate a paid subscription, in accordance with the applicable order form or agreement.
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law principles, except that if you are a consumer resident in the European Economic Area, the United Kingdom, or the United States, nothing in this Section deprives you of the protection of any mandatory provisions of the law of your country of residence, including applicable consumer-protection and data-protection law. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
We may revise these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on this page with a new "Last updated" date, or by direct notice to account holders. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with any applicable order form or agreement, constitute the entire agreement between you and Modaltrans regarding the Services.
